Scope and Purpose

The National Group rules and regulations embody the fundamental conditions and basic rights, duties and obligations of its members. By accepting being members they pledge themselves to regulate their conduct with interests of the organization in view.

 Article 1: Aims

(1.01) The Romanian National Group is organized and shall be operated for educational and scientific purposes according to the aims stipulated in ISCB Constitution:
• to stimulate research on the biostatistical principles and methodology used in clinical research;
• to increase the relevance of statistical theory to clinical medicine;
• to promote high and harmonized standards of statistical practice;
• to work with other societies and organizations in the advancement of biostatistics;
• to promote better understanding of the use and interpretation of biostatistics by the general public, and by national and international organizations and agencies within the public and commercial sectors with an interest:
• to provide a common forum for clinicians and statisticians through meetings, seminars and publications.

 Article 2: Powers

(2.01) Under the supervision of and consultancy with The Chair of ISCB National Groups, The Romanian National Group is empowered to:
• appoint the National Representative, the Deputy, the Secretary, the Editor of the Webmaster and The Treasurer to manage and administrate the organization and business of The Romanian National Group;
• accept into Membership of the Romanian National Group those who apply and are eligible;
• recommend for exclusion from further Membership of the Romanian National Group those whose activities are considered to contravene the Aims of The ISCB or to damage its reputation;
• arrange Scientific Meetings/Conferences and Courses on aspects of biostatistics and bioinformatics including aspects of organization and methodology of setting up clinical trials and epidemiological studies.

 Article 3: Romanian National Group Membership

The National Group Membership refers to Ordinary Membership stipulated in the ISCB Constitution
(3.01) The National Group membership shall be open to all interested individuals who share the Aims of ISCB.
(3.02) Membership shall commence upon payment of the Annual Membership Fee and continue until the end of the same calendar year, unless terminated by resignation or by secret vote at the General Meeting.
(3.03) A Register of the Members shall be periodically updated and kept by the National Office under the responsibility of the Secretary; the updated list of Romanian National Group members shall be available on the web page of The Romanian National Group.

 Article 4: The National Executive Committee

(4.01) The National Executive Committee of The Romanian National Group (hereafter referred to as The Committee) shall be the principal policy-making and legislative body of The Romanian National Group responsible for its general management, efficient organization and maintenance, including the setting up and running of a Permanent Office.

Its business must be to consider the best methods for promoting the Aims of The ISCB, to ascertain and take account of the views of the Membership, to propose changes to the Romanian National Group Rules and Regulations and the Annual Membership Fees so as to maintain the viability of The Romanian National Group.

(4.02) The National Executive Committee shall be composed of the National Representative, the Deputy, the Secretary, the Editor Webmaster and the Treasurer.
(4.03) The Quorum for a meeting of The Committee shall be half plus one or more of the current full membership of The Committee; any quorate meeting of The Committee which becomes non- quorate may continue, but cannot transact the business of The Romanian National Group.
(4.04) Any issue not resolved by agreement among members of The Committee shall be put to a vote; a decision shall be reached by majority vote; tied votes shall be resolved by casting vote of the National Representative.
(4.05) The Committee may conduct its business by telephone, post, email and fax, provided that any decisions made are documented and verified in writing by a majority of the full current membership of The Committee.
(4.06)   The Committee shall set up a Ballot Committee of three to five Members to conduct ballots.
(4.07)   The Romanian National Group is liable to the extent of its assets. The Committee is entitled to mange The Romanian National Group assets.  No member of the Romanian National Group shall be held personally liable for any debt of The Romanian National Group.
(4.08) The Committee shall set up and maintain an account with a Bank as support in the administration of the Romanian National Group funds.

Members of a Romanian National Group shall pay into this account such sums as agreed with The Committee.

The National Representative, Deputy and Treasurer shall be responsible for this account, and shall arrange for Bank Statements, together with full details of income and expenditure, to be sent annually, and upon request, to The Chair of ISCB National Groups.

(4.09) The amount in Bank account can be used only with the written agreement of the all Committee members.

(4.10) The National Representative

(4.10a) In the context of the creation of a new National Group, the National Representative shall be nominated by The Chair of ISCB National Groups for one year period (hereafter referred to as probation period).

(4.10b) During the probation period the National Representative is entitled to organize and manage the activities of the National Group by periodically consultations with The Chair of ISCB National Groups.

(4.10c) After the probation period the National Representative shall be elected by secret ballot at the General Meeting and shall normally serve for a period of two calendar years.

(4.10d) The National Representative shall not be eligible to stand for election during the two calendar years which immediately follow it.

(4.10e) The National Representative shall act as the main executive on behalf of The Romanian National Group by presiding at General Meetings.

The National Representative shall represent The Romanian National Group and its overall aims in discussions and meetings with persons outside The Romanian National Group and shall act as The Romanian National Group figurehead.

(4.10f) The National Representative shall have a casting vote to break ties while presiding at meetings of the General Meetings.

(4.10g) The National Representative (following discussion with the Deputy, Secretary, Editor and Treasurer) shall present an Annual Report describing the activities of The Romanian National Group during the previous calendar year, relating these to the overall aims of The ISCB and Romanian National Group; the Report shall be distributed to the Membership and to The Chair of ISCB National Groups.

(4.11) The Deputy

(4.11a) During the probation period the Deputy shall be nominated by the National Representative.

(4.11b) After the probation period the Deputy of the Romanian National Group shall be elected by secret ballot at the General Meeting and serve for a period of two years.

(4.11c) The Deputy shall be eligible to stand for election positions at the end of the mandate.

(4.11d) In the absence of the National Representative, the Deputy shall perform all National Representative duties and when so acting shall have the powers vested in the National Representative.

(4.11e) The Deputy shall assist the National Representative in all administrative and financial activities regarding the management of the Romanian National Group.

The Deputy shall support the National Representative in organizing the Romanian National Group scientific meetings and events.

(4.12) The Secretary

(4.12a) During the probation period the Secretary shall be nominated by the National Representative after consultancy with the Deputy.

(4.12b) After the probation period, the Secretary shall be elected by secret ballot at the General Meeting.

(4.12c) The Secretary shall normally serve for a period of two calendar years, and is eligible to stand for re-election for one further full period of office of two calendar years.

(4.12d) The Secretary shall be responsible for organizing and giving due notice of meetings of the Committee and General Meetings of The Romanian National Group, for preparing Agendas in consultation with the National Group Representative and Deputy, and shall keep a proper record of their proceedings, including resolutions and votes cast.

(4.12e) The Secretary shall be responsible for circulating Minutes within one month, and shall have custody of all Minute books and correspondence and in addition, of all records of accounts and supporting documents once audited. The Romanian National Group should keep copies of these records.

(4.12f) The Romanian National Group under the responsibility of the Secretary shall maintain records of the members and shall notify the Committee six months before expiry of a term of membership.

(4.13) The Treasurer

(4.13a) During the probation period the Treasurer shall be nominated by the National Representative after consultancy with the Deputy.

(4.13b) After the probation period, the Treasurer shall be elected by secret ballot at the General Meeting.

(4.13c) The Treasurer shall normally serve for a period of two calendar years, and is eligible to stand for re-election for one further full period of office of two calendar years.

(4.13d) The Treasurer shall have custody of The Romanian National Group’s funds, shall keep full and accurate records of The Romanian National Group’s financial transactions and shall deposit all money and other valuables in the name of The Romanian National Group with such bank.

The use of the Romanian National Group funds is available only with the written agreement of the all Committee members.

(4.13e) The Treasurer shall prepare a financial statement for each meeting of the Committee and statements summarizing the financial transactions, assets and liabilities of The Romanian National Group for each calendar year, for presentation at General Meetings of The Romanian National Group, for distribution to the Membership, to the Chair of National Groups, ISCB Treasure, Auditors and for publication on the National Group Web Page.

(4.13f) The Romanian National Group under the responsibility of the Treasurer shall also keep audited statements of the accounts of the National and International Scientific Meetings/Conferences/Trainings.

(4.13g) The Romanian National Group under the responsibility of the Treasurer shall collect the Annual Membership Fees, Registration Fees for non-members, donations from companies and shall maintain an up to date computerized Register of Members consisting of their names, full postal addresses, and other address information;

(4.14) The Social Media and Web Responsible

(4.14a) The Social Media and Web Responsible shall be nominated by the National Representative after consultancy with the Deputy.

(4.14b) The Social Media and Web Responsible shall be entitled to serve for an unlimited mandate unless his work is unsatisfactory or terminated by resignation with a thirty days notice, forwarded to the National Representative.

(4.14c) For unsatisfactory performance of the activities assigned, The Social Media and Web Responsible may be terminated at the proposal of the National Representative, after consultations with Deputy and the Chair of National Groups, with a thirty days notice.

(4.14d) The Social Media and Web Responsible shall design, manage and maintain with the support of the other members of the Committee an information mediation system based on the most recent Web Technologies (discussion forum, virtual library, virtual national group office).

 Article 5: General Meetings

(5.01) General Meetings of the Membership shall be called by The Committee and shall be held annually.

(5.02) General Meetings must be called and arranged by The Committee to an agreed Agenda, concluding with any other business.

At least thirty days notice of such meetings together with the Agenda must be given to all Members either in writing by the Secretary, and only Members may attend.

(5.03) A General Meeting may be called by majority vote of the full current membership of The Committee, at the request of The Chair of the National Groups, or by written petition of at least thirty Members.

(5.04) Prior to a General Meeting, the National Representative, in discussion with the Secretary, shall produce and make available to the Members a report of activities on behalf of The Romanian National Group during the period since the previous General Meeting; a formal proposal to accept this report must be voted.

(5.05) The Treasurer shall produce Statement(s) of The National Group’s accounts, together with Auditor’s Reports when available, for calendar years completed since the previous General Meeting, together with a Statement of The Romanian National Groups’s current financial position and Membership.

A formal proposal to accept the Treasurer’s Report and the Auditor’s Statements must be voted.

(5.06) A report which is rejected by vote of the Members present shall result in immediate acknowledge of The Chair of the National Groups, and in consultancy with The Chair of the National Groups proceed to elect a new Committee; the vote can extended to a secret ballot of the Membership of the former Committee members.

(5.07) The Reports and Financial Statements along with the Minutes of the General Meeting shall either be distributed to the Membership and The Chair of the National Groups.

(5.08) The quorum for the conduct of The Romanian National Group’s business at a General Meeting shall be 2/3 of the current Membership of The Romanian National Group; a General Meeting which becomes non-quorate may continue, but cannot vote.

(5.09) Resolutions debated at a General Meeting must be formally proposed and seconded, shall be voted, and can only be passed by 2/3 of those present.

If a vote is tied it shall be resolved by casting vote of the National Representative.

Resolutions may be made by any Member during any other business, but the National Representative is empowered to defer a vote to the next General Meeting or ballot, whichever is earlier.

(5.10) A General Meeting cannot proceed in the absence of both the National Representative and Deputy, except by prior agreement of both; nor in the absence of both the Secretary and the Treasurer.

(5.11) In the absence of the Secretary, the Minutes shall be kept by a member appointed by those present.

 Article 6: Scientific Meetings/Conferences

(6.01) The Romanian National Group shall aim to organize and conduct a National Scientific Meeting/ Conference in each calendar year.

For this purpose The Committee shall appoint a Meeting Organizer, who must be a Member and who shall be responsible for all arrangements necessary to achieve the meeting objectives, within general limits set by The Committee.

(6.02) The Meeting Organizer in discussion with The Committee, shall establish an Organizing Committee (OC) which shall make all local arrangements for the Meeting including handling publicity; and establish a Scientific Programme Committee (SPC), who shall arrange the scientific programme of the Meeting.

The Chair of the SPC must be a Member.

The OC may solicit donations from organizations and companies to help support the Meeting.

(6.03) The Committee may require a representative of the OC and the SPC to attend for relevant items of its Agenda, during the calendar year of the Meeting,

(6.04) The Meeting Organizer shall report as required to The Committee, about progress and plans with respect to relevant aspects of the Meeting.

(6.05) The Treasurer of The Romanian National Group after written agreement of all Committee members may make available to the Meeting Organizer such capital sums as deemed necessary for the conduct of the Meeting.

(6.06) Full and accurate accounts of the financial transactions of the Meeting shall be kept by the Treasurer separate from those of The Romanian National Group.

The Treasurer shall aim to produce a finalized statement of these transactions for presentation to The Committee in maximum 10 working days after the Meeting.

The finalized statement of accounts must be available on the web page of the Romanian National Group.

(6.07) Only Members may attend the Scientific Meetings/Conferences/ Trainings; for an individual who is not a Member, a Registration Fee shall be collected by The Romanian National Group;

The Registration Fee for non-members is established by the full agreement of Committee’s members and announced on the Romanian National Group Web page;

(6.08) Any conference contract shall be governed by the law of the country in which the contract is executed.

 Article 7: Financial Year and Annual Membership Fees

(7.01) The financial year of The Romanian National Group shall be the Calendar year.

(7.02) The Committee in consultancy with The Chair of National Groups may recommend changes to these fees; such changes to be endorsed by vote at a General Meeting and approved by a simple majority of those who are present at the General Meeting.

(7.03) Members of The Romanian National Groups shall pay such sums in Euro into an account with a local bank set up for the purpose, until the end of February of each year.

 Article 8: Other Contributions

(8.01) Contributions and bequests may be made to The Romanian National Group.

(8.02) Such contributions may be solicited from interested parties and sponsors by the Committee acting on behalf of The Romanian National Group but only upon written application to, and written permission from all Committee members.

(8.03) Contributions as books and articles in biostatistics and bioinformatics related issues may be made to The Romanian National Group.

 Article 9: Auditors

(9.01) The Annual Statements of the financial transactions of The Romanian National Group prepared by the Treasurer shall be sent for evaluation to the ISCB Treasurer in the first five working days of the month of January.

The ISCB Treasurer’s Evaluation Report shall be distributed to the Membership, to the Chair of the National Groups and published on the Romanian National Group Web page.

(9.02) The Statements of the financial transactions of The Romanian National Group prepared by the Treasurer shall be audited each five years by a company of independent public accountants selected by The Committee.

(9.03) The Auditor’s Report, along with the Treasurer’s Report, shall be distributed to the Membership, to the Chair of the National Groups, to the ISCB Treasurer and published on the Romanian National Group Web page.

 Article 10: Termination of Membership

(10.01) Membership of The Romanian National Group shall be terminated by resignation of the Member, non-payment of the Annual Membership Fee, or by a Resolution passed by a majority of at least two thirds of the members present at a meeting of The Committee.

Have not satisfactorily performed the functions assigned to them or have failed to establish sound working relations with other members or officials with the result that their usefulness to the Romanian National Group is materially impaired.

Before action is taken to terminate membership for unsatisfactory service, they shall be given a written warning, at least 30 days in advance to the notice of termination.

No such Resolution shall become effective unless the named individual has had the opportunity of attending either personally or by a representative to state their case during the 30 days from the written warning.

(10.02) When a Member resigns, no refund of the Membership Fee shall be allowed for the current calendar year.

(10.03) Non-payment of the Membership Fee shall result in automatic lapse of membership at the end of June.

(10.04) Expulsion from The Romanian National Group shall be immediate after the Resolution adoption with no refund of Membership Fees.

(10.05) The names of individuals who are no longer Members of The Romanian National Group shall be deleted from the Register of Members.

 Article 11: Dissolution of the Romanian National Group

(11.01) The Romanian National Group may be dissolved by a Resolution passed by a two-thirds majority of those present and voting at an Annual General Meeting or at a General Meeting convened for that specific purpose of which at least thirty days notice shall be given in writing to the Membership by the Secretary.

(11.02) Such Resolution must give instructions for the disposal of any assets held by or distributed among the Members.

(11.03) Any property and assets that remain after the satisfaction of all debts and liabilities shall not be paid or distributed among the Members but shall be transferred to The ISCB.
